Terms of service

These terms of service ("terms") govern your access to and use of the MonoDispatch dispatch automation platform, including the MonoDispatch driver mobile application and related web services (together, the "service"). By creating an account, signing in, or using the service, you agree to these terms. If you do not agree, do not use the service.

The service is operated by MonoDispatch ("MonoDispatch", "we", "us", or "our"). These terms are an agreement between you and MonoDispatch.

Eligibility and accounts

The MonoDispatch driver app is a workforce tool for professional drivers. You must be at least 18 years old and authorized to access the driver app, either by a carrier or dispatch company that uses MonoDispatch or by MonoDispatch as a driver it engages directly. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us promptly if you believe your account has been compromised.

The service

MonoDispatch connects drivers with dispatch teams so drivers can receive load offers, accept, decline, bid, or counter on loads, allow dispatch to view live location while a load is active, upload delivery documents, and review settlements and earnings. We may add, change, or remove features over time, and we may update the service to maintain security, reliability, and compliance.

Business relationship

MonoDispatch operates in two capacities.

First, as a software provider. We license dispatch and load-board software to third-party carriers and dispatch companies. When you access MonoDispatch through your carrier or dispatch company, that company remains responsible for its loads, its relationship with you, payment, and regulatory compliance. In that capacity we are only the software provider.

Second, MonoDispatch also provides dispatch services directly. In that capacity we engage drivers as independent contractors and work with freight brokers who tender loads that are dispatched through those contracted drivers.

In both capacities, MonoDispatch is not a motor carrier, not a freight broker, and not a freight forwarder. We hold no FMCSA operating authority. Drivers who dispatch through us operate under their own or another carrier's authority and remain responsible for their own operating authority, insurance, DOT and FMCSA compliance, and taxes. Drivers engaged by MonoDispatch do so as independent contractors, not employees, and are responsible for their own taxes.

Acceptable use

You agree that you will not:

  • Use the service for any unlawful, fraudulent, or unauthorized purpose.
  • Access data belonging to drivers or companies you are not authorized to access.
  • Interfere with, disrupt, probe, or attempt to gain unauthorized access to the service or its infrastructure.
  • Submit false, misleading, or fraudulent information, including falsified delivery documents or location data.
  • Reverse engineer, scrape, or build a competing service from the service except where such restriction is prohibited by law.

Driver content and documents

You are responsible for the accuracy of the documents and information you submit, including bills of lading, proof of delivery, and delivery status updates. By submitting content, you grant MonoDispatch and your dispatch company the rights needed to store, display, and process that content to operate the service and to fulfill the associated loads. You represent that you have the right to submit the content you provide.

Location, notifications, and device permissions

The driver app requests permissions for location (shared while the app is open and in use), notifications, and camera and photo access. These permissions support core dispatch features. You may grant or revoke each permission in iOS Settings, but some features will not work without them. Our handling of this data is described in our privacy policy and location policy.

Payments and settlements

The service may display load rates, settlements, deductions, and earnings. The amounts shown are provided for your reference and reflect data entered by the company or operation that dispatches your loads.

When you access MonoDispatch through a third-party carrier or dispatch company, your actual payment terms, timing, and amounts are governed by your agreement with that company, not by MonoDispatch. In that case MonoDispatch is not a party to and is not responsible for payment disputes between you and that company.

When MonoDispatch engages you directly as an independent contractor, your compensation is governed by your independent contractor agreement with MonoDispatch. Any amounts shown in the service are for reference only and do not change the terms of that agreement.

Intellectual property

The service, including its software, design, and content, is owned by MonoDispatch and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the driver app for its intended purpose. All rights not expressly granted are reserved.

Termination

We or your dispatch company may suspend or terminate your access to the service at any time, including for violation of these terms, suspected fraud, or security concerns. You may stop using the service at any time. To request deletion of your account and associated personal data, contact ops@monodispatch.com. Provisions that by their nature should survive termination will survive.

Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or secure, or that load offers, rates, or tracking data will be accurate in every situation.

Limitation of liability

To the maximum extent permitted by law, MonoDispatch will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to your use of the service. Our total liability for any claim arising out of these terms or the service is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify and hold MonoDispatch harmless from claims, damages, losses, and expenses arising out of your use of the service, your content, or your violation of these terms or applicable law, to the extent permitted by law.

Governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these terms or the service will be brought in the state or federal courts located in Delaware.

Changes to these terms

We may update these terms from time to time. When we make material changes, we will update the "last updated" date above and, where appropriate, provide additional notice. Your continued use of the service after an update means you accept the revised terms.
